Seasonality needs an explanation, not an apology. Fresno Business Brokers Prime connects owners with a valuation partner to discuss the records behind a realistic earnings picture.

Compare like periods

Prepare monthly income statements across several operating periods and reconcile them with tax records. Compare the same months where possible instead of putting a busy quarter beside a quiet one.

Explain changes in weather, customer timing, pricing or product mix without claiming they will repeat. A forecast is useful context, but it is different from profit already demonstrated.

Show where the cash goes

Separate customer deposits from completed work and explain the normal stock build before the busy season. The business may need cash for inventory and wages before customers pay.

Identify slow receivables and unusual supplier terms. A buyer who misunderstands working capital can reach a very different view of what funds are needed after closing.

Normalize carefully

Document any proposed adjustment with records. A genuine unusual expense is different from a recurring cost you hope the buyer will somehow avoid.

Account for your own role and the cost of replacing it. A business that works only because the owner provides unpaid labor needs that fact reflected in the discussion.

Keep trading while you prepare

Maintaining customer service and operational performance matters through the sale process. Organize the records without diverting all your attention from the business the buyer is assessing.
