Payroll tax obligations need their own closing review. Fresno Business Brokers Prime can connect an owner with a valuation partner, while the transaction advisors coordinate the EDD requirements that apply.
Distinguish the request from the certificate
EDD identifies DE 2220 as the Certificate of Release of Buyer and DE 2220R as the Release of Buyer Request Form. The request and the issued certificate are different documents.
The buyer should ask the seller for the certificate. EDD guidance describes withholding enough funds in escrow to cover amounts owed, up to the purchase price, until the certificate is issued.
Prepare the payroll records
Have the seller or authorized agent reconcile outstanding returns, wage reports and payments. Missing filings can leave the tax position unresolved even where the business has agreed a closing date.
Use current EDD instructions and coordinate with the payroll provider. Do not send employee records or payroll account details through this website's inquiry form.
Understand the sale closeout timing
EDD says a seller who sells the business and no longer has employees must submit final returns, reports and payment and close the payroll account within 10 days of selling.
That instruction is conditional on the actual circumstances. A continuing employer or a different transaction structure should confirm its duties with EDD and the relevant advisors.
Keep the releases distinct
An EDD release does not replace CDTFA tax and fee clearance or other approvals. Put the responsible person and required evidence for each agency step into the closing checklist.
